Terms of Service
These Terms of Service (the “Terms”) set out the conditions for using “Social Feed by grip space” (the “Service”) provided by ibis studio K.K. (the “Company”). They apply to everyone who uses the Service (the “User”).
- Article 1 (The Service)
- The Service provides a feature (the “Widget”) that embeds and displays posts from the Instagram account connected by the User on the User’s website.
- The Service uses the Instagram API provided by Meta Platforms, Inc. (“Meta”). The Service is not provided, endorsed or sponsored by Meta.
- Article 2 (Agreement to the Terms)
- The User shall use the Service after agreeing to these Terms.
- The User is deemed to have agreed to these Terms upon signing up for the Service.
- Article 3 (Account)
- The User creates an account for the Service by registering an email address and password.
- The User shall keep the registered information accurate and is responsible for managing the password.
- The User may not let any third party use the account or transfer the account to any third party.
- The Company is not liable for any damage caused by unauthorized use of the account by a third party, unless the Company acted intentionally or with gross negligence.
- Article 4 (Connecting an Instagram Account)
- To use the Widget, the User must connect an Instagram professional account (Business or Creator) to the Service.
- The User shall connect only Instagram accounts that the User has the authority to manage.
- The User shall comply with the Instagram Terms of Use and other terms and policies set by Meta.
- The Company stores the access token and account information (such as the username) of the connected account, and each time the Widget is displayed, retrieves the posts of that account (images, videos, captions, posting dates, etc.) from Instagram and displays them. The content of the posts is not stored on the Company’s servers. Details are set out in the Privacy Policy.
- When the User disconnects an account or deletes the User’s account, the Company deletes the access token and other information related to that Instagram account.
- Article 5 (Plans and Fees)
- The Service has a Free plan (no charge) and paid plans (Light plan and Standard plan). The details and fees of each plan are as shown on the Service’s website and in the dashboard.
- Fees for paid plans are in US dollars and exclude tax. Applicable taxes are calculated and added at checkout according to the User’s location.
- The User chooses to pay the fee for a paid plan either monthly or yearly.
- Payment is made by credit card through Stripe. Payments are processed in accordance with Stripe’s terms.
- Article 6 (Automatic Renewal)
- Paid plans renew automatically every month (monthly plans) or every year (yearly plans), and the same fee is charged at each renewal.
- Paid plans have no minimum term.
- Article 7 (Changing Plans)
- Changes to a higher plan, and changes from monthly to yearly billing, take effect immediately after the change is completed. In this case, the difference for the remaining days of the current billing period is charged at the time of the change. When changing from monthly to yearly billing, a new billing period starts on the day of the change.
- Changes to a lower plan, and changes from yearly to monthly billing, take effect at the end of the current billing period.
- Plan changes, changes to the card used for payment, and cancellation are made on the management page of the payment service (Stripe), opened from “Plan” in the dashboard.
- Article 8 (Cancellation)
- The User may cancel a paid plan at any time from the dashboard.
- After cancellation, the User may continue to use the paid plan until the end of the paid billing period. The account then switches to the Free plan.
- Fees already paid are not refunded. No prorated refund is given for cancellation in the middle of a period.
- Article 9 (Late or Failed Payment)
If a charge through the payment service cannot be made, the Company may suspend the paid plan and switch the account to the Free plan.
- Article 10 (Exceeding Plan Limits)
- Even if the User’s usage exceeds the limits of the User’s plan, the Company will not immediately stop displaying Widgets that are already embedded.
- The Company may notify the User that the limits have been exceeded and suggest a change of plan.
- Article 11 (Changes to Fees and Plans)
- The Company may change the fees and the details of the plans.
- When changing fees, the Company will notify the User at least 30 days in advance by email to the registered address or in the dashboard. The new fees apply from the billing period starting after the notice.
- Article 12 (Prohibited Acts)
The User shall not:
- act in violation of laws or public order and morals;
- display through the Widget any post that infringes the copyright, portrait rights, privacy or other rights of a third party;
- connect an Instagram account that the User has no authority over;
- place an excessive load on, or gain unauthorized access to, the servers or networks of the Service;
- analyze, copy or modify the Service, or use the Service for the purpose of providing a similar service;
- do anything else that the Company deems inappropriate.
- Article 13 (Suspension and Account Deletion)
If the User violates these Terms, the Company may suspend the User’s use of the Service or delete the User’s account without prior notice.
- Article 14 (Changes, Interruption and Termination of the Service)
- The Company may interrupt all or part of the Service for system maintenance, failures or other unavoidable reasons.
- All or part of the Service may become unavailable due to changes to, the end of, or review results for the Instagram API by Meta.
- The Company may terminate all or part of the Service with at least 30 days’ notice. In that case, the Company will refund the portion of fees already paid that corresponds to the unused period.
- Article 15 (View Counts)
The Company counts the number of times Widgets are displayed on a daily basis. This count does not include information that identifies website visitors (IP addresses, cookies, URLs of pages viewed, etc.). The User can see the view counts in the dashboard.
- Article 16 (Disclaimer)
- The Company does not guarantee that the Service is fit for any particular purpose of the User or that it will always work properly.
- The Company is not liable for damage caused by failures or changes on the Instagram side, the environment of the User’s website, or the like.
- If the Company is liable to the User for damages, the amount is limited to the total fees paid by the User to the Company in the 12 months before the month in which the damage occurred. This limit does not apply if the Company acted intentionally or with gross negligence.
- Article 17 (Changes to the Terms)
The Company may change these Terms as needed. When it does, the Company will give notice by posting the effective date and the changes on the Service’s website. If the User uses the Service on or after the effective date, the User is deemed to have agreed to the changed Terms.
- Article 18 (Governing Law and Jurisdiction)
These Terms are governed by the laws of Japan. The Osaka District Court has exclusive jurisdiction as the court of first instance over any dispute between the Company and the User relating to the Service.
