marketingLABO Terms of Service

This is a translation. The Japanese version is the binding version.

These Terms of Service (these “Terms”) set out the conditions for using marketingLABO (the “Service”), a marketing automation tool provided by ibis studio K.K. (the “Company”). These Terms apply to everyone who applies for or uses the Service (the “User”).

Article 1 (The Service)
  1. The Service is the collective name for the features that the Company provides as the Service, including access analytics, heatmaps and visitor history recording performed by installing a tracking tag on the User’s website, email delivery (including measurement of opens and clicks), pop-up banners, the creation and publication of landing pages, and journeys (automated email scenarios).
  2. The details of the features are as described on the Service’s website and in the dashboard. The Company may add or change features.
Article 2 (Agreement to these Terms and formation of the contract)
  1. The User shall use the Service after agreeing to these Terms.
  2. A service agreement with these Terms as its content is formed between the User and the Company when the User signs up for the Service and the Company issues an account.
  3. The Company may decline an application if it contains false information, if the applicant has previously been suspended for violating these Terms, if the Company determines that the applicant is an antisocial force, or if the Company otherwise considers the application inappropriate.
Article 3 (Accounts and credentials)
  1. The User shall keep their registration information accurate and shall update it promptly when it changes.
  2. The User shall manage credentials such as their email address and password at their own responsibility and shall not let any third party use them or transfer them to any third party.
  3. Acts of persons whom the User has permitted to use the Service are deemed to be acts of the User.
  4. The Company is not liable for damage caused by unauthorized use of credentials, except where the Company is at fault through intent or gross negligence.
Article 4 (Plans)
  1. The Service offers a Free plan, a Light plan and a Standard plan. The features and limits available in each plan (the number of sites that can be registered, and the number of forms, pop-up banners and landing pages that can be published, etc.) are as described on the Service’s website and in the dashboard.
  2. The Free plan is free of charge and has no time limit. No credit card is required.
  3. The Light plan and the Standard plan (together, “Paid Plans”) can be applied for from Plan in the dashboard.
Article 5 (Fees and payment)
  1. The fees for Paid Plans are as follows. There is no setup fee. (a) Users of the English version of the Service: in US dollars, excluding tax — Light plan $29 per month or $290 per year; Standard plan $59 per month or $590 per year. Applicable tax is added at checkout. (b) Users of the Japanese version of the Service: in Japanese yen, including tax — Light plan 4,800 yen per month or 48,000 yen per year; Standard plan 9,800 yen per month or 98,000 yen per year.
  2. Payment is by credit card (Stripe). Payments are processed in accordance with Stripe’s terms. A User who wishes to pay by bank transfer shall contact the Company’s sales representative.
  3. Fees accrue from the date on which the application for a Paid Plan and its payment are completed (the “Start Date”). For monthly billing, the first charge is a prorated fee from the Start Date to the end of that month, and thereafter one month’s fee is charged on the 1st of each month. For yearly billing, one year’s fee is charged on the Start Date, and thereafter every year.
  4. A change from the Light plan to the Standard plan takes effect when applied for, and the difference for the remainder of the billing period is charged on a prorated basis.
Article 6 (Term and automatic renewal)
  1. Paid Plans have no minimum term.
  2. Unless the User cancels, Paid Plans renew automatically every month for monthly billing and every year for yearly billing.
Article 7 (Cancellation)
  1. The User may apply to cancel a Paid Plan, or to change to the Free plan, from Plan in the dashboard.
  2. Cancellation and changes to the Free plan take effect at the end of the billing period in which the application is made. Until then the User may keep using the current plan, and the fees up to that date are charged.
  3. Fees already paid are not refunded. No prorated refund is given for cancellation or changes in the middle of a period.
  4. When a change to the Free plan takes effect, forms, pop-up banners and landing pages exceeding the limits of the Free plan are unpublished, keeping the oldest ones up to the limit.
  5. After cancellation takes effect, the User can no longer log in to the account, and the Company deletes the User Data after a reasonable period has passed.
Article 8 (Late or failed payment)

If the Company is unable to charge fees through the payment service, the Company may suspend provision of the Service.

Article 9 (Changes to fees and content)
  1. The Company may change the fees and the content of plans.
  2. When changing fees, the Company will notify the User by the registered email address or in the dashboard at least 30 days before the change. The new fees apply from the billing period starting after the notice.
Article 10 (Tracking tag and visitor information)
  1. The tracking tag of the Service collects information about visitors to the User’s website, such as pages viewed, date and time of viewing, IP address, cookies, browser type and information entered in forms, and displays it in the User’s dashboard.
  2. On websites where the tracking tag is installed, the User shall appropriately disclose, in their own privacy policy or otherwise, that visitor information is collected and used, and shall obtain any necessary consent.
  3. With respect to visitor information collected through the Service, the User shall comply with the Act on the Protection of Personal Information and other applicable laws and regulations. The Company handles such information on behalf of the User.
Article 11 (Handling of data)
  1. Data that the User registers or accumulates in the Service (“User Data”) belongs to the User.
  2. The Company does not view, change or provide User Data to third parties, except at the User’s request, as required by law, or as necessary for maintenance of the Service or handling of failures.
  3. The Company may aggregate usage of the Service in a form that does not identify the User in order to improve the Service.
  4. The Company may delete User Data after a reasonable period has passed following the end of the agreement. The User shall save any necessary data before the agreement ends.
Article 12 (Email delivery)
  1. Emails delivered through the Service are created and sent by the User at the User’s own responsibility.
  2. The User shall comply with the Act on Regulation of Transmission of Specified Electronic Mail and other applicable laws and regulations, obtain the consent of recipients, identify the sender, and show how to unsubscribe. The User shall promptly honor requests to unsubscribe.
  3. If the Company determines that there are many delivery errors or complaints and that receiving servers may restrict delivery, the Company may stop delivery.
Article 13 (Prohibited acts)

The User shall not engage in any of the following acts.

  1. Acts that violate laws and regulations or public order and morals

  4. Installing the tracking tag on websites the User does not have the authority to manage
  5. Placing excessive load on the servers or networks of the Service, or accessing them without authorization
  6. Analyzing, copying or modifying the Service, or using it for the purpose of providing a similar service
  7. Any other acts that the Company considers inappropriate
Article 14 (Suspension and termination)

Article 15 (Interruption and discontinuation of the Service)
  1. The Company may interrupt all or part of the Service due to system maintenance, failures or other unavoidable reasons.
  2. The Company may discontinue all or part of the Service by giving notice at least 30 days in advance. In this case, the Company will refund the portion of fees already paid that corresponds to the unused period.
Article 16 (Exclusion of antisocial forces)

The User represents and warrants that it is not, and will not in the future be, an organized crime group, a member of an organized crime group or any other antisocial force.

Article 17 (Disclaimer)
  1. The Company does not guarantee that the Service fits any particular purpose of the User, that it always operates normally, or that use of the Service will produce results such as sales.
  2. The Company is not liable for damage caused by the environment of the User’s website, or by failures or specification changes of external services.
  3. If the Company is liable to the User for damages, the amount is limited to the total fees paid by the User to the Company during the 12 months before the month in which the damage occurred. This limit does not apply where the Company is at fault through intent or gross negligence.
Article 18 (Confidentiality)

The Company and the User shall not disclose to any third party, without the other party’s consent, confidential information of the other party learned in connection with the Service.

Article 19 (No assignment)

The User may not assign its position under these Terms, or its rights and obligations, to any third party without the Company’s written consent.
